Terms of service
Draft, pending legal review. This text is a working outline and is not in force. Items in [brackets] are open decisions. The final version will be written and approved by counsel before launch.
1. Who we are
[Legal name of the business (to be registered in Nova Scotia, Canada: sole proprietorship or company), registered address, business number.] Contact: support@faceninja.net, [phone number].
2. The service
FaceNinja makes 3D heads from photos through a web Studio and an API. Outlines of what a head contains are on the product page; they describe the service and are not a warranty.
3. Accounts and API keys
- You are responsible for your account and for keeping API keys secret.
- [Minimum age for account holders; business-only or also consumers.]
4. Your photos and the person in them
- You may only upload photos you have the right to use, of yourself or of adults who have consented to a 3D head being made of them.
- No photos of minors.
- The acceptable use policy is part of these terms.
5. Heads you create
- [Ownership and licence of the output; rights retained by third parties, in particular Epic Games for MetaHuman topology and assets.]
- [Licence you grant us to process photos and outputs in order to provide the service.]
- [Use of outputs for improving the service: opt-in or not at all.]
6. Prices, payment and refunds
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
- Prices are in US dollars and are shown on the pricing page. Paddle adds the sales tax or VAT that applies where you are and sends the receipt or invoice. Paddle's own buyer terms also apply to the payment.
- You pay for FaceNinja with credits: one US dollar buys 100 credits and a head uses 1,500 credits. Credits are prepaid use of FaceNinja only. They belong to your account, cannot be transferred or sold, have no cash value and cannot be exchanged for money except under the refund policy. [Operator decision: whether credits expire; the draft assumes they do not while the account is open.]
- Credits for a head that fails return to your balance automatically.
- Refunds follow the refund policy. A refunded or disputed purchase removes its credits from your balance, which can then be below zero.
- Bonus credits from the invite programme follow the invite programme terms.
- By buying credits you accept these terms and the refund policy.
7. Availability and changes
[Service levels, maintenance, changes to the service and to these terms, notice periods.]
8. Liability
[Limitation of liability and indemnities.]
9. Ending the agreement
[Termination by either side; what happens to data and balances.]
10. Law and disputes
[Governing law and venue.]
